1. Your agreement

These Terms of Service (“Terms”) govern access to the LiveOrg.ai website and organization chart platform, including related support and subscriptions (the “Service”). The Service is operated by LiveOrg, based in Georgia, United States (“LiveOrg,” “we,” “us,” or “our”). Contact us at info@liveorg.ai.

By accepting these Terms during registration or purchase, or using the Service after these Terms have been brought to your attention, you agree to them. If you do not agree, do not register, purchase, or use the Service. If you act for a company or other organization, you represent that you have authority to bind it; “you” then includes that organization.

A separate written agreement signed by LiveOrg controls over conflicting provisions of these Terms. A purchase confirmation controls the selected plan, billing period, price, and trial dates expressly agreed for that purchase. Our Privacy Policy explains personal information handling; these Terms do not reduce rights provided by applicable privacy or consumer law.

2. Accounts & eligibility

You must be at least 18 years old and legally able to enter this agreement. Provide accurate account and billing information and keep it current. Each person must use their own authorized sign-in account; an organization subscription does not authorize sharing sign-in credentials.

You are responsible for activity you authorize through your account, protecting access to your Google or GitHub sign-in account, and notifying us of suspected unauthorized access. You must have authority to create organizations and upload their information. We may take reasonable steps to verify ownership or authority when resolving access disputes.

3. Platform access & limits

Subject to these Terms and payment when required, we give you a limited, non-exclusive right to use the Service for your own or your organization’s lawful organization-chart activities during your authorized access period. You may use and share your exported charts for those activities.

LiveOrg One includes all released platform features and future released updates while subscribed, unlimited companies and org charts, and no per-editor or viewer charges within the subscribing organization. This pricing does not promise a feature before it exists: saved charts are currently private to their creator, and shared-chart editing and real-time collaboration are not currently available.

Each chart supports up to 200 cards, including departments, and up to 128 KiB of chart data. Prepared photos are limited to 1 MiB each; source images can be up to 10 MiB and are resized for display. These are per-chart and per-photo limits, not a total organization storage quota. “Unlimited” refers to company and chart counts within ordinary use of the platform; it does not permit circumventing technical limits or using LiveOrg as general-purpose file storage. There are no credit packs or automatic overage charges.

4. Subscriptions & billing

LiveOrg One is offered at US $9 per month or US $90 per year, paid annually up front, plus applicable taxes disclosed at purchase. Annual billing is equivalent to $7.50 per month and saves $18 compared with twelve monthly payments; it is one annual payment, not monthly installments.

Subscriptions automatically renew for the same billing period unless you cancel before renewal. When you expressly authorize a subscription at checkout or through an agreed enrollment process, you authorize the payment provider to charge your selected payment method for the disclosed initial amount and recurring renewal amounts, including applicable taxes. Merely viewing this page or sending a contact request does not authorize a charge.

Payment providers process payment details under their terms and privacy notices. You must be authorized to use the payment method. If a payment fails, we may notify you, retry the authorized payment, and suspend paid access until resolved. Contact us promptly about billing errors; nothing here limits lawful payment-dispute rights.

Price increases apply prospectively at renewal after advance notice and any consent required by law, giving you an opportunity to cancel before the new price applies. We do not impose retroactive price increases or automatic usage overage charges.

5. Seven-day free trial

The Early Adopter trial provides access to the whole released platform for seven days from activation, subject to the same technical limits as LiveOrg One. A credit card is required. The trial’s start, end, first charge, and cancellation instructions will be disclosed at enrollment.

Unless you cancel before the trial ends, the Early Adopter trial converts to LiveOrg One at $9 per month. If you separately select and authorize annual billing at enrollment, the first subscription charge is $90 for the year instead. Your enrollment confirmation identifies your selection. A temporary card-verification authorization, if used by the provider, is not a subscription fee.

You can cancel during the trial using the cancellation methods below to avoid the first subscription charge. Requesting an invitation or submitting the contact form alone does not activate a trial, authorize recurring charges, or start a billing period.

6. Cancellation & refunds

Cancel before your next renewal to stop future subscription charges. During invitation-only early access, use our cancellation contact form or email info@liveorg.ai from your account email. You can also use the Stripe billing portal linked from your profile or billing confirmation to cancel future renewals. If a portal is unavailable, contact us. A timely cancellation request is effective when received, even if we respond later.

When you cancel a paid subscription, access continues through the end of the paid monthly or annual period. We do not provide partial-period or prorated refunds for unused time, including unused months of an annual subscription. This policy does not limit refunds, withdrawal rights, or other remedies required by applicable law, or an express written refund commitment from LiveOrg. Contact us if you believe a charge was erroneous or unauthorized.

Signing out, stopping use, or deleting a chart does not cancel billing. Cancellation does not itself delete account information or content. See our Privacy Policy for deletion requests and retention. Export any information you need before access ends; continued access after your subscription ends is not guaranteed.

7. Your content & permissions

You retain your ownership and other rights in information and materials you provide, including chart data, photos, logos, notes, and imported files (“Customer Content”). You grant LiveOrg permission to store, reproduce, process, resize, and display that content only as needed to operate and support the Service, carry out your instructions, maintain security, and comply with law. We may use necessary service providers for those purposes. This permission does not authorize selling your content, publishing private charts for marketing, or training AI models on chart content.

You are responsible for the accuracy, legality, and authorized use of Customer Content, including employee information, images, and external profile links. Obtain necessary rights and provide required notices before uploading information about others. Maintain your own exports or other copies of important information. You control and are responsible for copies you share outside the Service.

Do not upload unnecessary sensitive or regulated information such as health records, government identifiers, or payment card details. LiveOrg is not offered as a clinical, emergency, payroll, or regulated records system. Contact us before any use requiring a special data-processing or regulatory agreement.

8. Acceptable use

You must not use the Service to:

  • Violate law or another person’s privacy, confidentiality, intellectual property, or other rights; impersonate others; or upload unlawful, abusive, or malicious material.
  • Access another user’s account or private content without authorization, bypass security or technical limits, introduce malware, disrupt the Service, or overload it with abusive automated traffic.
  • Harvest personal information without authorization, send spam, or use the Service to facilitate fraud, harassment, or unlawful discrimination.
  • Resell or sublicense access to the platform without our written permission, or reverse engineer protected software except where applicable law expressly permits it.

Report suspected security issues privately to info@liveorg.ai. This does not authorize accessing other users’ information or conducting disruptive testing.

9. LiveOrg intellectual property

LiveOrg and its licensors retain rights in the platform software, design, branding, documentation, and other materials we provide, excluding Customer Content and rights granted under applicable open-source licenses. These Terms do not transfer ownership of the platform or grant permission to use our trademarks beyond identifying your use of the Service.

If you voluntarily provide product suggestions, you allow us to use them without payment or an obligation to implement them. This permission does not apply to private chart content or personal information included in a support request.

For an intellectual-property complaint, contact us with your contact details, the work or right at issue, the location of the disputed material, and the basis for your claim. We may request further information and restrict access where appropriate. This contact process does not claim that LiveOrg has a registered statutory copyright agent.

10. Privacy & third parties

Our Privacy Policy describes collection, service providers, disclosures, retention, and privacy requests. Any separately agreed data processing agreement controls its covered processing. These Terms do not themselves establish a regulated-data agreement or certify compliance with a particular industry standard.

Sign-in providers, payment providers, externally hosted images, and linked websites may be subject to their own terms. We do not control independent third-party services. Their involvement does not remove obligations that applicable law places on LiveOrg. The current chart service does not provide generative AI processing; the LiveOrg.ai name alone is not a promise of AI functionality.

11. Availability & changes

We may maintain, fix, and update the Service. We do not guarantee uninterrupted availability, a specific response time, or delivery of an unreleased feature unless separately agreed in writing. Early-access or beta features may change and should not be your sole copy of critical information. Purchase based on released capabilities rather than a roadmap.

We will provide reasonable notice of material changes affecting a paid subscription when practicable and will not use a change to impose undisclosed charges. If we permanently discontinue paid access during your prepaid period for reasons unrelated to your breach, we will refund the unused prepaid portion. Obligations imposed by applicable law continue to apply.

Events outside reasonable control may delay performance, including network outages, disasters, or government restrictions. We will take reasonable steps to address the effects; this provision does not remove mandatory rights or excuse payment for service already provided.

12. Suspension & termination

We may restrict content, suspend access, or terminate an account when reasonably necessary to address a material breach, nonpayment, unlawful activity, a security threat, or a legal requirement. Where practicable, we will explain the reason and provide an opportunity to resolve it. Immediate action may be necessary to protect the Service or others, or when notice is legally restricted.

You may stop using the Service, cancel a subscription, or request account deletion. Fees already due remain payable, subject to applicable law. Termination ends your permission to access the Service, but does not automatically remove residual copies described in the Privacy Policy. Content rights, accrued payment obligations, lawful retention, liability provisions, and dispute provisions survive as needed to give them effect.

13. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not promise error-free charts, compatibility with every device, uninterrupted operation, or that information you upload is accurate or legally appropriate for your intended use.

LiveOrg is an organization-chart tool, not legal, employment, financial, or professional advice. Independently review charts and information before relying on them for consequential decisions. Nothing in these Terms excludes a warranty, duty, or remedy that cannot lawfully be excluded.

14. Limits of liability

To the maximum extent permitted by law, LiveOrg and its owners, officers, employees, contractors, and agents will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business opportunities, or indirect losses from lost data, arising from use of or inability to use the Service.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or mandatory remedy that applicable law does not allow us to exclude or limit. They do not restrict privacy rights or regulatory powers. The protections for the persons listed above are intended to be enforceable by them where permitted by law.

15. Business-customer indemnity

If you use the Service on behalf of a business or organization, to the extent permitted by law, that customer agrees to defend and indemnify LiveOrg and its owners, officers, employees, contractors, and agents against third-party claims and resulting damages, reasonable legal costs, and approved settlements to the extent caused by its Customer Content infringing another person’s rights, its unlawful use of the Service, or its material breach of these Terms. This obligation does not apply to the extent a claim results from LiveOrg’s own breach, negligence, or misconduct.

We will give prompt notice of a claim, allowing for any prejudice caused by delay, and reasonable cooperation at the customer’s expense. The customer may control the defense with qualified counsel, but may not settle in a way that admits wrongdoing by a protected person or imposes obligations on them without their written consent, which will not be unreasonably withheld. This business-customer provision does not impose an indemnity on an individual acting as a consumer.

16. Governing law & disputes

Georgia law governs these Terms, excluding its conflict-of-law rules, except that mandatory protections under the law applicable to you remain in effect. Where legally permitted, disputes may be brought in a state or federal court of competent jurisdiction in Georgia, United States. Consumers retain any right to bring claims in courts available under mandatory local law.

Please contact info@liveorg.ai first so we can try to resolve a concern. Informal discussions do not prevent urgent relief or suspend legal deadlines unless agreed in writing. These Terms do not require binding arbitration or waive class-action or jury-trial rights.

17. General terms, updates & contact

We may update these Terms and will revise the date above. For material changes affecting existing customers, we will provide advance notice where practicable and any notice or consent required by law. Changes apply prospectively and do not retroactively remove accrued rights. If you do not accept a change, contact us before it takes effect to discuss ending renewal or exercising applicable remedies.

These Terms and any applicable purchase confirmation or signed agreement constitute the agreement for the Service. If a provision is unenforceable, the remaining provisions continue where legally possible. Not enforcing a provision once does not waive it. Neither party may transfer its contractual obligations without the other’s consent, except in connection with a merger, reorganization, or transfer of substantially all related assets, subject to applicable law and privacy obligations. Transfer does not diminish mandatory rights.

Questions, billing issues, or legal notices may be sent to LiveOrg, Georgia, United States, at info@liveorg.ai or through our contact page. Account and service notices may be sent to your account email; keep it current. This contact address does not replace formal service-of-process requirements.
